Terms & Conditions

1. About these terms

These terms set out the rules for using The Fraction Collective website at https://thefractioncollective.com/. The site is operated by The Fraction Collective, LLC, a California limited liability company (“we”, “us”, “our”).

The site is intended for businesses and their representatives. By using it, you confirm that you are at least 18 years old and are using the site in a business capacity.

By using the site you agree to these terms. If you do not agree, please do not use the site.

These terms cover use of this website only. Any work we do together is governed by a separate written agreement.

2. Using the site

You may read, view and share pages of the site for your own use. You agree not to:

  • use the site in a way that violates any law or regulation;
  • attempt to gain unauthorized access to the site, its servers or any connected system;
  • interfere with the site’s operation, or introduce viruses or other harmful code;
  • copy, scrape or bulk download content by automated means;
  • impersonate another person or organization;
  • use our contact forms or email addresses to send spam or unrelated marketing.

We may suspend or block access if we believe these terms have been broken.

3. Content on the site

The content on this site is general information about ownership transition, employee ownership and running agencies. It is general by design and may not fit your circumstances.

It is not legal, financial, tax, accounting, valuation, investment, and should not be relied on as a substitute for advice from a licensed professional.

We aim to keep the content accurate and current, but we do not promise that it is complete, accurate or up to date at any given moment. Examples, case studies and figures are illustrative and are not a prediction of what will happen in your business.

4. Our intellectual property

The site and its content, including text, design, layout, graphics, photography, logos, frameworks and methods, belong to us or our licensors and are protected by copyright and trademark law.

You may print or download extracts for your own personal, non-commercial use, provided you keep all copyright and attribution notices intact. You may not copy, republish, sell, license, distribute, modify or create derivative works from the content without our written permission. Short quotations with credit and a link back to the site are fine.

5. Information you send us

You can contact us through the forms on the site or by email. Please do not send confidential, commercially sensitive or sensitive personal information through the site, such as financial account numbers, government ID numbers or health information. Email and web forms are not a secure channel.

Sending an enquiry does not create a client relationship, and does not commit either side to anything.

6. Third-party links and services

The site may link to third-party websites, or include embedded tools such as scheduling, video or document viewers. We do not control those services and are not responsible for their content, availability, terms or privacy practices. If you use them, their terms apply.

7. Availability of the site

The site is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not guarantee that the site will be uninterrupted, error free or secure, or that it will be free of viruses or other harmful elements. We may change, suspend or withdraw all or part of the site at any time, without notice.

8. Our responsibility to you

Nothing in these terms limits liability for fraud, willful misconduct, gross negligence, death or personal injury, or any other liability that cannot be limited under applicable law.

Subject to that:

  • we are not liable for any loss of profits, revenue, business, goodwill, anticipated savings or data, or for any indirect, incidental, special, consequential or punitive damages;
  • we are not liable for any decision you take, or action you do not take, based on the content of this site;

9. Privacy and cookies

How we collect and use personal information is explained in our Privacy Policy. By using the site you accept those documents. California residents have additional rights described in our Privacy Policy.

10. Changes to these terms

We may update these terms from time to time. The current version will always be published on this page with a revised date. Continued use of the site after a change means you accept the updated terms, so it is worth checking this page occasionally.

11. Other

If any part of these terms is found to be unenforceable, the rest stays in force. If we do not enforce a provision on one occasion, that does not waive our right to enforce it later. These terms confer no rights on any third party, and there are no third-party beneficiaries. You may not transfer your rights under these terms without our written consent. We may transfer our rights and obligations to any successor or affiliate.

12. Dispute resolution and arbitration

Please read this section carefully. It affects how disputes are resolved.

Informal resolution first. If you have a dispute with us, email [hello@thefractioncollective.com] with a description of the issue, and we will try to resolve it within 30 days.

Agreement to arbitrate. If we cannot resolve it, you and we agree that any dispute arising out of or relating to these terms or the site will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section.

Class action waiver. You and we agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding.

Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive relief in court to prevent infringement or misuse of intellectual property. Nothing in this section prevents you from seeking public injunctive relief where that right cannot be waived under applicable state law.

Opt-out. You may opt out of this section by emailing [hello@thefractioncollective.com] within 30 days of first using the site, with your name and a statement that you opt out of arbitration. Opting out does not affect any other part of these terms.

13. Governing law and venue

These terms are governed by the laws of the State of California, without regard to its conflict of law rules. Subject to section 12, you and we agree that any dispute will be brought exclusively in the state or federal courts located in Alameda, California, and both parties consent to the personal jurisdiction of those courts. Nothing in these terms limits any right you have under applicable federal or state law that cannot be waived.
